These Terms of Service govern the relationship between your organization and MDP Technology Consultants, LLC regarding IT consulting, managed technology services, and related support engagements. By using our services, you agree to these terms.
1. Execution of Services
MDP Technology Consultants, LLC provides services as described in your proposal, agreement, or Statement of Work (SOW). Any timelines and milestones are estimates and may be adjusted based on scope, technical constraints, and third-party dependencies.
2. Client Responsibilities
The client agrees to provide timely access to required systems, accounts, environments, and information necessary for service delivery. MDP Technology Consultants, LLC is not responsible for delays caused by restricted access, missing information, or delayed client approvals.
3. Payment Terms
Unless otherwise specified in writing, fees are due according to your agreement. Failure to make timely payment may result in suspension of services. Third-party software, licensing, cloud, or vendor costs are billed as outlined in your contract and are the client's responsibility unless explicitly included.
4. Intellectual Property
Upon full payment, the client owns deliverables specifically created for the client unless otherwise agreed in writing. MDP Technology Consultants, LLC retains rights to pre-existing materials, methodologies, templates, and internal tools used to perform services.
